This Content Creator Agreement (“Agreement”) governs participation as a content creator (“Creator”) on the Noir Velvet platform operated by Noir Velvet LLC (“Noir Velvet,” “we,” “us,” or “our”). By applying to become a Creator, creating a Creator account, uploading content, or livestreaming through Noir Velvet, the Creator agrees to comply with this Agreement and all applicable Noir Velvet policies.
Creators must be 18 years of age or older.
Creators agree to provide accurate information regarding their identity and age and to complete any age or identity verification required by Noir Velvet.
No Creator may permit a person under 18 years of age to appear in adult-oriented, sexual, exploitative, or otherwise age-restricted content on Noir Velvet.
Creators are responsible for all content they upload, publish, transmit, or livestream through Noir Velvet.
Creators represent and warrant that:
• They own the content they submit or have all necessary rights and permissions to use and distribute it.
• Every person appearing in Creator content is 18 years of age or older when required by the nature of the content.
• Every person appearing in Creator content has knowingly and voluntarily consented to being recorded, livestreamed, published, and distributed as applicable.
• Creator content does not violate the privacy, publicity, copyright, trademark, or other legal rights of another person.
Creators may be required to provide documentation verifying age, identity, consent, or authorization.
Creators may not upload, publish, transmit, livestream, request, promote, sell, or distribute content that:
• Creator content does not violate the privacy, publicity, copyright, trademark, or other legal rights of
• Contains non-consensual sexual content, sexual exploitation, trafficking, coercion, or content created or distributed without the consent of all participants.another person.
• Depicts, promotes, or facilitates illegal activity or violates applicable local, state, federal, or international law.
• Promotes violence, threats, abuse, harassment, hate, or exploitation of another person.
• Infringes copyrights, trademarks, privacy rights, publicity rights, or other intellectual-property rights.
• Contains fraudulent, deceptive, impersonating, or misleading material.
• Promotes or facilitates illegal drugs, controlled substances, weapons, or other unlawful goods or users.
• Otherwise violates Noir Velvet policies or requirements imposed on the platform by its payment- processing or financial partners.
Noir Velvet may remove prohibited content and suspend or terminate accounts involved in prohibited activity. Suspected illegal activity may be reported to appropriate authorities when required by law.
Creators are responsible for ensuring that their livestreams comply with this Agreement and all Noir Velvet policies.
Creators must not:
• Allow an unauthorized or underage person to participate in restricted livestream content.
• Broadcast illegal, non-consensual, exploitative, or otherwise prohibited content.
• Use livestreams to facilitate unlawful transactions or activity.
• Circumvent Noir Velvet safety, moderation, payment, or access controls.
• Continue prohibited activity after receiving a warning or instruction from Noir Velvet.
Noir Velvet reserves the right to restrict, suspend, or terminate a Creator’s livestreaming privileges or account for violations of platform policies.
Creator-uploaded content may be subject to review by Noir Velvet before publication or availability on the platform.
Noir Velvet may reject, restrict, remove, or disable access to content that violates applicable law, this Agreement, Noir Velvet’s Terms of Service, Acceptable Use Policy, Human Trafficking Policy, or other platform requirements.
Serious or repeated violations may result in account suspension or termination.
Creators are responsible for maintaining the confidentiality and security of their account credentials.
Creators may not sell, transfer, share, or provide unauthorized access to their Creator account.
Creators must promptly notify Noir Velvet if they believe their account has been compromised or used without authorization.
Creator compensation, fees, revenue shares, payout schedules, and other financial terms are governed by the payment and compensation terms presented to the Creator through Noir Velvet or otherwise agreed to in writing.
Creators are responsible for providing accurate information required to receive payments.
Noir Velvet may withhold, delay, reverse, or adjust payments when reasonably necessary to address refunds, chargebacks, fraud, violations of this Agreement, payment-processor requirements, or applicable law.
Creators are responsible for their own taxes and reporting obligations unless applicable law requires otherwise.
Unless Noir Velvet and the Creator enter into a separate written employment agreement, participation as a Creator does not create an employer-employee relationship, partnership, joint venture, or agency relationship between the Creator and Noir Velvet.
Creators control the manner in which they create their content, subject to this Agreement and Noir Velvet’s platform policies.
Creators retain ownership of content they own.
By submitting or making content available through Noir Velvet, the Creator grants Noir Velvet the rights reasonably necessary to host, display, transmit, distribute, promote, and operate that content through the Noir Velvet platform and its services, subject to applicable law and Noir Velvet policies.
The Creator represents that granting these rights does not violate the rights of any third party.
Noir Velvet may restrict, suspend, or terminate a Creator’s access to the platform when the Creator violates this Agreement, applicable law, or Noir Velvet policies.
Serious violations involving minors, exploitation, trafficking, non-consensual content, fraud, or other unlawful activity may result in immediate termination and may be reported to appropriate authorities as required by law.
A Creator may discontinue participation subject to any outstanding obligations, transactions, disputes, or other requirements applicable to the account.
Creators agree to comply with Noir Velvet’s applicable policies, including its:
• Terms of Service
• Privacy Policy
• Acceptable Use Policy
• Human Trafficking Policy
• Refund Policy
• Age and identity-verification requirements
• Other creator or platform policies communicated by Noir Velvet
If this Agreement conflicts with applicable law, applicable law will control.
Noir Velvet may update this Agreement to reflect changes in its services, legal requirements, safety standards, or payment-processing requirements.
Creators may be required to accept an updated Agreement before continuing to use Creator features.
By checking an acceptance box, submitting a Creator application, creating or maintaining a Creator account, or otherwise electronically accepting this Agreement, the Creator acknowledges that they have read, understood, and agreed to this Content Creator Agreement.
